Welcome to AI 365 Assistant ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access the Service.

1. Definitions

• "Service" refers to the AI 365 Assistant platform, including all features, integrations, APIs, and functionality provided by the Company.
• "User", "you", "your" means any individual or entity that accesses or uses the Service.
• "Account" means your registered user account for accessing the Service.
• "Customer Data" means any data, information, content, or materials that you submit to or through the Service.
• "Subscription" refers to your paid or trial access to the Service.
• "Third-Party Services" refers to third-party platforms, integrations, or services connected to the Service.

2. Eligibility and Acceptance

By creating an Account or using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• If using on behalf of an entity, you have authority to bind that entity
• You will comply with all applicable laws and regulations

3. Account Registration and Security

To use certain features, you must register for an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your Account information
• Maintain the security and confidentiality of your password and credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your Account

We reserve the right to suspend or terminate Accounts that violate these Terms or for any other reason at our sole discretion.

4. Subscription Terms

4.1 Free Trial

We may offer a 7-day free trial with full feature access. No credit card is required to start. At the end of the trial period, you must subscribe to a paid plan to continue accessing the Service.

4.2 Subscription Plans

After the trial period, continued use requires a paid subscription. Current plans:

• Monthly Plan: $29 USD per month, billed monthly
• Annual Plan: $249 USD per year, billed annually (35% discount vs monthly)

4.3 Billing and Payment

• Subscription fees are billed in advance
• All fees are non-refundable except as expressly stated in these Terms
• We use Stripe for payment processing. You agree to their terms of service
• You are responsible for all taxes applicable to your subscription

4.4 Cancellation and Termination

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. Upon cancellation, your Account will remain active until the end of the paid period, after which access will be suspended.

4.5 Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with the Service, contact us within 30 days of your initial subscription or renewal for a full refund. Refunds are processed within 5-10 business days.

5. Intellectual Property Rights

5.1 Company Ownership

The Service and its original content (excluding Customer Data), features, functionality, designs, logos, trademarks, and intellectual property are and will remain the exclusive property of AI 365 Assistant and its licensors. The Service is protected by copyright, trademark, and other laws.

5.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes during your Subscription period.

5.3 Customer Data

You retain all ownership rights to your Customer Data. By submitting Customer Data to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display your Customer Data solely for the purpose of providing and improving the Service.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights
• Using the Service for any illegal or unauthorized purpose
• Interfering with or disrupting the Service or servers
• Attempting to access areas or features you are not authorized to access
• Reverse engineering, decompiling, or disassembling any part of the Service
• Uploading viruses, malware, or harmful code
• Scraping, data mining, or harvesting information
• Impersonating others or providing false information
• Using the Service to send spam, phishing, or unsolicited communications
• Circumventing any rate limits or usage restrictions

7. Third-Party Services and Integrations

The Service integrates with third-party platforms including but not limited to:

• Stripe (payment processing)
• Google Calendar, Calendly, Square (calendar integrations)
• Telegram (messaging)

Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the availability, performance, content, or data practices of third-party services. We do not warrant that integrations will always function without interruption.

8. Data Protection and Security

We implement industry-standard security measures to protect your data, including:

• Encryption in transit (TLS/SSL) and at rest
• Access controls and authentication requirements
• Regular security audits and vulnerability assessments
• Secure data centers with redundant backups

However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your data, we cannot guarantee absolute security.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI 365 ASSISTANT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Reliance on AI-generated responses or recommendations

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

11. Indemnification

You agree to defend, indemnify, and hold harmless AI 365 Assistant and its licensees, licensors, service providers, contractors, employees, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party right; or (d) any Customer Data you submit to the Service.

12. Termination

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and AI 365 Assistant concerning the Service.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
